Description:

Calico seeks an exceptional candidate for a Contracts Associate/Manager. The successful candidate will possess significant experience in drafting and negotiating a high volume of life sciences contracts for a biotechnology or pharmaceuticals company or academic institution. The Contracts Associate/Manager will work across functions and teams at Calico as a trusted partner to proactively facilitate the efficient negotiation, execution and tracking of contracts with a focus on internal stakeholder relationship building, professionalism, superior organizational and prioritization skills, and a high level of attention to detail.

Responsibilities:

• As part of Calico’s Business Development team, draft and negotiate a high volume of contracts, including services agreements, statements of work, confidentiality agreements, research agreements, consulting agreements, material transfer agreements and amendments to support the company’s R&D organization, working with outside counsel as needed
• Act as a liaison between internal business partners and external vendors/collaborators as necessary for contract initiation, drafting, negotiations, processes and inquiries, as well as contract maintenance, amendments and terminations
• Master and help drive improvements for Calico’s internal contracting process, including administering and managing an integrated contracts management system and electronic signature system, and provide related periodic reporting
• Ensure fully executed contracts are properly entered into the contracts management system and update information, as required
• Assist patent counsel with legal forms, which may include powers of attorney, declarations, and assignments
• Help develop and implement new policies, procedures and contract templates and provide education and training to internal stakeholders.
• Work with members of finance and other departments to help ensure that Calico’s contracts are in compliance with applicable policies, procedures and reporting requirements
• Complete special projects as requested, such as collaborating on department-wide or company-wide initiatives

Qualifications:

• Bachelor’s degree
• 3-5+ years of experience in the life sciences industry or academia, or 2+ years experience as a paralegal, drafting and negotiating a variety of contracts
• Strong experience with contract management systems, electronic signature systems and other legal software and systems
• Prior in-house experience as a member of a contracts or legal department in a biotechnology or pharmaceuticals company strongly preferred
• Exceptional contract drafting and negotiation skills
• Demonstrated ability to multitask, problem-solve, triage priorities and operate in a dynamic environment
• Strong verbal and written communication skills, including proven ability to interact and communicate effectively with individuals from multiple departments at all levels of the organization.
